Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (the "Agreement") govern your participation in the LifePrisma Affiliate Program (the "Program"). By enrolling — clicking "Accept and become an affiliate" — you agree to be bound by this Agreement, the Terms of Use and the Privacy Policy.

ELIGIBILITY

• •You must have an active LifePrisma account and be of legal age in your jurisdiction.
• •Enrollment is free and approval is immediate at the standard rate.
• •You participate as an independent promoter — this Agreement does not create any employment, partnership, agency, or joint-venture relationship between you and LifePrisma.

KEY TERMS

• •Affiliate / You — a user enrolled in the Program.
• •Referral — a user who becomes attributed to you and is recorded as referred by you (one referrer per user, set once).
• •Commission — the cash amount you earn on a qualifying payment made by a referral.
• •Net amount — the amount the platform actually receives on a transaction: the amount the customer paid (after any discount), less the app-store cut (Apple/Google), payment-processing fees (card/gateway/PIX), and taxes on revenue (e.g. PIS/COFINS, ISS, VAT).
• •Hold window — the period a commission is held before it becomes payable (currently 30 days).
• •Available balance — commissions that have cleared the hold window and are eligible for the next monthly payout.

On enrollment we automatically issue you a unique personal coupon code and affiliate link. The coupon both identifies your referrals and grants them the customer discount described below.

You are responsible for keeping your account secure. Your code and link are personal to you and may not be transferred, sold, or shared with another promoter.

You earn a commission of 10% by default (the "Commission Rate") on the net amount of every qualifying payment made by your referrals.

HOW IT WORKS

• •Commission is recurring — it applies to every payment a referral makes for as long as they keep paying, including subscription renewals and credit/GeniX purchases, not just the first purchase.
• •Commission is calculated on the net amount — what the platform actually receives — never on the gross list price. The base excludes the app-store cut (Apple/Google, 15–30%), payment-processing fees (card/gateway/PIX), and taxes on revenue (e.g. PIS/COFINS, ISS, VAT). Commission never applies to amounts the platform does not receive, nor to refunded sales.
• •The Commission Rate in effect at the time of each payment is the rate applied to that payment.
• •LifePrisma may grant you a custom Commission Rate; custom rates are reviewed and approved at LifePrisma's discretion.

Your affiliate link and coupon give the referred customer a discount of 10% by default on their purchase. The discount and your commission are independent percentages, both configurable by LifePrisma. The discount applies automatically when the customer uses your link or coupon.

A user is attributed to you when:

• •they sign up or check out using your coupon code; or
• •they arrive through your affiliate link and a tracking cookie is present (the cookie lasts 30 days by default).

If a coupon is used, the coupon attribution takes priority. Attribution is set once and is permanent for that user — a user can have only one referrer. We track clicks, conversions, and earnings for reporting; see Data & Privacy below.

You may not earn commission on your own purchases or on accounts you control. Self-referral is automatically blocked and any commission found to arise from self-referral, collusion, or circular referrals will be reversed and may result in suspension and forfeiture of your balance.

Every commission is first recorded as pending and held for a 30-day hold window. A commission becomes payable only after this window — i.e. once the underlying customer payment can no longer be refunded or charged back.

WE ONLY PAY NON-REFUNDABLE EARNINGS:

• •If the underlying payment is refunded, charged back, or revoked, the related commission is reversed and removed from your balance (clawed back if already credited).
• •Commissions that are reversed before payout are never paid.
• •The hold window protects both you and LifePrisma from paying out on transactions that are later undone.

Payouts are processed automatically once per month. On each monthly run, your available balance (commissions that have cleared the 30-day hold) is aggregated into a single payout per currency.

PAYOUT RULES

• •Currencies: BRL is paid via PIX; USD is paid via PayPal. The two balances are tracked separately and never converted into one another.
• •Minimum: a payout is issued only when your available balance for that currency reaches the minimum threshold (default R$ 100,00 / US$ 20,00). Balances below the minimum carry over to the following month.
• •Payout details: you must keep a valid PIX key (for BRL) and/or PayPal email (for USD) on file. We cannot pay you without them; unpaid balances carry over until details are provided.
• •You authorize LifePrisma to record and store your payout details (encrypted) for the purpose of paying you.
• •There is no on-demand withdrawal — payouts follow the monthly schedule.

Commission may be paid by LifeGenix, Inc. (the Delaware entity) or by any of its affiliates, at LifePrisma's discretion.

Tax treatment and documentation. When applicable law requires withholding at source on the commission payment, the paying entity will withhold and remit the taxes required under the law applicable to such payer and payment. In that case, the amount paid to you will be net of such withholding taxes, which will be reflected in the applicable payment statement or supporting documentation.

To receive the commission, you must provide LifePrisma with the appropriate tax, legal and payment information and issue the applicable tax document, invoice, receipt or equivalent documentation required for fiscal purposes under the laws and regulations applicable to you, your jurisdiction and LifePrisma.

Except for any withholding taxes made at source by the paying entity, you remain responsible for determining, reporting and paying any other taxes, contributions, duties or charges applicable to the commission you receive in your jurisdiction.

You must promote LifePrisma honestly and comply with all applicable advertising and consumer-protection rules, including disclosing your affiliate relationship (e.g. FTC, ASA, CONAR guidelines).

YOU MUST

• •Clearly disclose that you earn a commission when you promote LifePrisma.
• •Make only truthful claims; never promise medical outcomes or misrepresent what LifePrisma does.
• •Respect the LifePrisma brand guidelines and not imply official endorsement beyond the affiliate relationship.

The following will result in withheld or reversed commissions, suspension, and/or termination:

• •Spam, unsolicited messaging, or misleading advertising.
• •Bidding on LifePrisma trademarks in paid search or impersonating LifePrisma.
• •Self-referral, fake accounts, or fraudulent/incentivized sign-ups.
• •Cookie stuffing, forced clicks, or any manipulation of attribution.
• •Promoting LifePrisma on sites containing illegal, hateful, or adult content.

We track and store your Program performance data — clicks, conversions, commissions, and payout records — to operate the Program and pay you. This processing is carried out in accordance with our Privacy Policy and the LGPD/GDPR. Your payout details (PIX key / PayPal email) are stored encrypted and used only to pay you.

LifePrisma may change the standard commission, customer discount, rate classes, hold window, minimum payout, attribution window, or any other program parameter at any time. Changes apply prospectively; commissions already accrued are not reduced retroactively.

For a change to YOUR personal rate, we distinguish favorable from adverse changes:

FAVORABLE (a class promotion, or any increase in your commission):

• •Applies immediately. We notify you — no acceptance required.

ADVERSE (a reduction in your commission):

• •We notify you by email and in-app with the new rate and its effective date.
• •You have 30 days to accept or reject.
• •If you do nothing within 30 days, the change is deemed accepted (tacit acceptance) and takes effect.
• •If you reject, your participation ends under the termination terms below (convenience, 30 days notice).

Every notice, acceptance, rejection and tacit acceptance is recorded in our audit log.

Either party may end your participation in the Program.

TERMINATION FOR CONVENIENCE (either side, with 30 days notice):

• •At the end of the notice period, your affiliate links and coupon are deactivated.
• •Commissions on your referrals renewals keep accruing for a short tail period (currently 30 days) after deactivation.

TERMINATION FOR CAUSE (by LifePrisma, immediate, no notice):

• •If your conduct — or any circumstances pertaining to you — creates reputational or legal risk (for example, fraud, self-referral, illegal activity, misleading health claims, spam, or any harm to the brand), we may deactivate your links and coupon immediately, with no renewal tail, and may withhold unvested commissions.

IN BOTH CASES

• •Commissions already earned on settled, non-refunded sales are paid in the normal monthly cycle — except where fraud or cause justifies withholding them.
• •Rejecting an adverse rate change (previous section) ends your participation under the convenience terms above.

We may update this Agreement from time to time. Material changes will be communicated and, where required, your continued participation after the effective date constitutes acceptance of the updated terms.

The Program is provided "as is". To the maximum extent permitted by law, LifePrisma is not liable for indirect, incidental, or consequential damages arising from your participation, and our total liability under this Agreement is limited to the commissions payable to you in the three months preceding the event giving rise to the claim.

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over disputes — without prejudice to the mandatory consumer-protection rules of your country of residence.
